THE AGREEMENT

Terms of Use. This website ("Site"), is owned and operated by Mediacorp Pte. Ltd. ("Mediacorp"). These terms of use ("Terms of Use") shall apply to your use of this Site as well as the booking requests for advertising and/or advertising-related services ("Services") which may be submitted via this Site ("Booking Requests").
Advertising Terms. In addition, your use of the Services, including but not limited to all Booking Requests submitted via this Site, shall be subject to: (a) Mediacorp’s standard terms and conditions for advertising set out at here ("Advertising Terms"), (b) any additional terms applicable to the Services that may be posted on the page relating to such Services from time to time, and (c) the privacy policy adopted by Mediacorp from time to time set out here (the "Privacy Policy"). All such terms are hereby expressly incorporated by reference in this Terms of Use (collectively, the "Agreement"). All capitalized terms used in these Terms of Use which are not already defined herein shall have the same meanings as defined in the Advertising Terms. Any conflict or inconsistency between any of the provisions in these Terms of Use and any of the provisions in the Advertising Terms shall be resolved by Mediacorp in its sole and absolute discretion.
Agreement. By accessing or using the Site and/or Services, you agree to be bound by and to comply with these Terms of Use and the Advertising Terms, as well as any other policies, rules and regulations that may be imposed and/or required by Mediacorp from time to time.
Amendments. These Terms of Use and the Advertising Terms may be amended by Mediacorp from time to time without prior notice. Such amendments shall take effect from the date when such amendments are uploaded onto the Site. You are responsible for being aware of such amendments, and your continued use of the Site and/or Services shall be deemed and construed as your conclusive and binding acceptance of the amended terms.
Territory. The Site and the Services may be accessed by you in any part of the world, provided that it is legal for you to do so in the territory that you are accessing the Site or Services from. You undertake and warrant that you are legally entitled and able to use the Site and/or Services.
Not intended for EU. Notwithstanding the foregoing, neither the Site, nor any of the Services, are intended for persons resident in the European Union.

USER ACCOUNT

User Account. In order to submit Booking Requests via this Site, you are required to register for an account under the Site ("User Account"), using the application form(s) provided by Mediacorp. The User Account may only be registered under the name of a legal entity.
Warranties. In respect of your User Account:
1. you warrant that all information provided to Mediacorp, including all information provided in the application form(s) is true, correct and complete;
2. you warrant that you have the capacity and power to enter into this Agreement and use the Site and/or Services; and
3. you shall keep all of the information provided updated, accurate and complete.
Security. You must keep the User Account and information related to your User Account (such as your login identification, password, security question, and/or any pin numbers) confidential, safe and secure. You are solely responsible for maintaining the confidentiality and security of your account and for all activities that occur on or through your account, and you agree to immediately notify Mediacorp of any security breach of your account. Mediacorp shall not be responsible for any losses arising out of the unauthorised use of your account at any time. In particular, you must not:
1. disclose your User Account identification or password to any other party; or
2. allow any other party to use or share your User Account.
Legal entity. If you are an employee of a legal entity and registering a User Account on behalf of your employer, you hereby confirm that you have been duly authorised by your employer to do so. Mediacorp may also require you to provide documentary proof of such authorisation. Mediacorp reserves the right, in its sole discretion, to accept and/or reject any application for registration for a User Account until satisfactory proof of authorization has been provided to Mediacorp.
Reserved rights. Notwithstanding any other provision in this Agreement, Mediacorp reserves the right, in its sole discretion, to determine whether any particular user is eligible to use the Site and/or Services, and to accept and/or reject any application for registration for a User Account, without the need to provide any reason.

BOOKING REQUESTS

Acceptance. All Booking Requests are subject to acceptance by Mediacorp in its absolute discretion and any acknowledgement of receipt of any Booking Request shall not constitute acceptance of the Booking Request. Only the broadcast or publication of any Advertising Materials which is the subject of a Booking Request shall constitute the acceptance of such Booking Request by Mediacorp.
No cancellation. Once a Booking Request is submitted, it may not be terminated, withdrawn, cancelled, revised or rescheduled for any reason, unless otherwise agreed in writing by Mediacorp.
Advertising Terms. For the avoidance of doubt, all Booking Requests submitted via the Site are subject to the Advertising Terms, as well as any booking procedures, requirements and deadlines which may be specified on the Site and/or the relevant rate card for each platform. Unless otherwise expressly agreed by Mediacorp in writing, any terms and conditions printed on any of your own booking or order forms, or any other documents which you may submit to Mediacorp in any form, are NOT valid and shall NOT apply.

PAYMENT TERMS

Payment Terms. Payments for Booking Requests shall be made in accordance with the Advertising Terms, or such other terms as may be expressly agreed in writing with Mediacorp.
No refund. All transactions are final and non-refundable.
Disclaimer. Whilst Mediacorp will try and ensure that all details (including but not limited to availability and pricing) which appear on the Site are accurate, Mediacorp reserves the right to change or update such information at any time.
Taxes. All payments to be made by you shall be made free and clear of and without deduction or deferment in respect of any demand, set-off, counter claim or other dispute or in respect of any foreign withholding or other taxes or duties of any nature. If you are required by law to make any deduction or withholding from any amount payable, you shall increase the amount payable so as to ensure that Mediacorp receives, and is entitled to retain, after such deduction or withholding, a sum which it would have received and be entitled to retain had that deduction or withholding not been required.

INTELLECTUAL PROPERTY

All of the:
1. content (including without limitation all text, photographs, graphics, video and audio content) located on the Site and/or Services);
2. compilation(s) (meaning the collection, arrangement and assembly) of all content on the Site and/or Services; and
3. software used on the Site and/or Services,
is the property of Mediacorp, its related companies, its content suppliers and/or its software suppliers, and protected by Singapore and international intellectual property laws (including without limitation copyright and trade mark laws).
All rights in and to the foregoing are reserved by Mediacorp, its related companies, its content suppliers and/or its software suppliers, and save as expressly permitted herein, you may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, repost or in any way exploit any part of this Site and/or Services for any purpose.
Without limiting the foregoing provisions, you shall not make use of the content of the Site and/or Services in any manner that constitutes an infringement of Mediacorp’s, its related companies’, its content suppliers’, and/or its software suppliers’, rights (including copyright).
The names, trademarks, service marks and logos (the "Trade Marks") displayed on the Site and/or Services are registered or unregistered Trade Marks of Mediacorp, its related companies, its content suppliers, and/or its software suppliers. Nothing on the Site or Services should be construed as granting by implication, estoppel or otherwise, any license or right to use any such Trade Marks. Mediacorp prohibits use of the Trade Marks as a "hot" link or in-link to the Site unless establishment of such a link is approved in advance by Mediacorp in writing.
User Submitted Content. Mediacorp may provide facilities on the Site to permit you to submit materials, information, articles, photographs, text, graphics, video and/or audio content ("Your Creatives") to Mediacorp or to the Site and/or Services directly. You are solely responsible for Your Creatives, and Your Creatives (or any materials contained therein) shall not:
1. be false, fraudulent, inaccurate or misleading;
2. infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
3. violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
4. be defamatory, libellous, offensive, unlawfully threatening or unlawfully harassing;
5. contain any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; or
6. create liability for any company in the Mediacorp Group or cause any company in the Mediacorp Group to lose (in whole or in part) the services of its ISPs or other suppliers.
You may not submit any of Your Creatives if Your Creatives or the submission thereof could cause any company in the Mediacorp Group to violate any applicable law, statute, ordinance or regulation.
You hereby grant the Mediacorp Group a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to use and to exercise the copyright and publicity rights you have in Your Creatives, in any media now known or not currently known, for the purposes of the Services.
You may submit feedback or information that can, directly or indirectly, be used to improve the whole or part of the Site and/or Services ("Feedback"). Feedback may include suggestions, comments, ideas, or survey responses. Mediacorp shall be free to use, disclose, reproduce, or otherwise exploit all Feedback as it sees fit and without obligation or restriction of any kind to you. For the avoidance of doubt, you will not, through your provision of Feedback, acquire any rights or licenses in the Site and/or Services.

USAGE RESTRICTIONS

Without prejudice to any restrictions set out elsewhere in the Terms of Use or the Advertising Terms, the following restrictions shall apply to your use of the Site and/or Services. You MUST NOT, and you must not ATTEMPT to:
1. display, print, save, cache, copy, reproduce, change, alter, modify, or create any derivative work of, any or any part of the Site, Services, or any User Account(s);
2. communicate, distribute or make available for download in any way (including, without limitation, from or through any computer or server or network) any or any part of the Site, Services, or any User Account(s);
3. offer, sub-sell, lend, rent, lease, sub-license, or otherwise grant to any third party any right in respect of, or exploit in any way for personal or other gain, any or any part of the Site, Services, or any User Account(s);
4. hack, bypass or gain unauthorised access into any part of the Site, Services, or any User Account(s);
5. deeplink from any other website to, or frame on any other website, any or any part of the Site, Services, or any User Account(s);
6. use any device, software or routine to interfere or attempt to interfere with the proper working of; or interfere with any other user’s access or use of any part of the Site, Services, or any User Account(s); or impose any unreasonable or disproportionately large load on Mediacorp’s, its related companies’, and/or its service provider’s infrastructure;
7. use any robot, spider, other automatic device, or manual process to monitor or copy any or any part of the Site, Services, or any User Account(s);
8. use any part of the Site, Services, or any User Account(s) for sending out unsolicited e-mails;
9. assume a false identity or the identity of some other registered user to access or use any or any part of the Site, Services, or any User Account(s); or
10. use any part of the Site, Services, or any User Account(s) in any way that:
  1. will or could violate, or that will or could result in any company in the Mediacorp Group violating any law, statute, ordinance or regulation (including, without limitation, those governing export control, consumer protection, unfair competition, anti-discrimination and false advertising), or code of practice, direction, order, or guideline issued by any regulatory authority;
  2. cause any form of loss or damage to any company in the Mediacorp Group or any third party (including, without limitation, loss of reputation and goodwill);
  3. create any liability for any company in the Mediacorp Group; or
  4. cause any company in the Mediacorp Group to lose (in whole or in part) the services of any Internet or telecommunication service provider or any other supplier of products and/or services.

DISCLAIMERS

No warranty. The Site and Services are provided on an "AS IS WHERE IS" basis. No company in the Mediacorp Group makes any representation or warranty, express or implied (to the extent permitted by law):
1. as to the use, security, accuracy, reliability, non-infringement, satisfactory quality or fitness for any particular purpose of the Site and/or Services; and
2. that the use of the Site and/or Services will be uninterrupted and free of any viruses or bugs.
Access. No Mediacorp Group company shall be responsible for any connection or access to the Site and/or Services by you. You are responsible for providing your own communications equipment and subscribing to a communications service provider to access the Site and/or Services, as well as any charges (such as Internet access charges) thereon.
Security. Certain data transmissions between your computer and the Site and/or Services, are conducted through secure servers and protected by Secure Socket Layer (SSL) technology. Certain services further require you to register, use passwords and/or digital signatures. While the Mediacorp Group will use reasonable endeavours to provide reasonable precautions to protect any information or material that is confidential in nature, it does not guarantee that information transmitted through the internet is secure or that such transmissions will be free from delay, interruption, interception or error. Furthermore, although the Mediacorp Group intends to take reasonable steps to prevent the introduction of viruses, worms, "Trojan horses" or other destructive materials to the Site and/or Services, Mediacorp does not guarantee or warrant that the Site, the Services, or materials that may be downloaded from the Site and/or Services do not contain such destructive features. No Mediacorp Group company shall be liable for any damages or harm attributable to such features.
LIMITATION OF LIABILITY. IN NO EVENT SHALL MEDIACORP, ITS SUBSIDIARIES, AFFILIATES, ASSOCIATES AND RELATED COMPANIES, INCLUDING THE EMPLOYEES OF ALL OF THE FOREGOING, BE LIABLE TO YOU AND/OR TO ANY PARTY FOR ANY DAMAGES, EXPENSES, CLAIMS, COSTS OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA, (OTHER THAN FOR DEATH OR PERSONAL INJURY RESULTING DIRECTLY FROM YOUR USE OF THE SITE AND/OR SERVICES, CAUSED IN WHOLE BY MEDIACORP’S NEGLIGENCE) ARISING OUT OF ANY LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE), YOUR USE OF OR INABILITY TO ACCESS OR USE THE SITE, SERVICES, USER ACCOUNT(S), AND/OR THE CONTENT OF THE HYPERLINKS, INCLUDING BUT WITHOUT LIMITATIONS, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES. ANY CLAIM AGAINST MEDIACORP, ITS SUBSIDIARIES, AFFILIATES, ASSOCIATES AND RELATED COMPANIES, INCLUDING THE EMPLOYEES FO ALL OF THE FOREGOING, SHALL BE LIMITED TO THE AMOUNT YOU PAID, IF ANY, FOR USE OF THE SITE AND/OR SERVICES.

PERSONAL DATA

Your personal data will be collected, used, disclosed and/or processed by the Mediacorp Group for the following purposes:
1. for the Mediacorp Group or its designated representatives or business partners to provide goods and services to you or parties designated by you and matters ancillary thereto;
2. to verify and process payment when you purchase goods and services from the Mediacorp Group;
3. for verification and record of your personal particulars including comparing it with information from other sources and using the information to communicate with you;
4. for research and analysis, including surveys and polls;
5. for the Mediacorp Group or its designated representatives to conduct market research and analysis, and offer surveys to you, in relation to the Site and/or Services;
6. to send you notices, information, promotions and updates including marketing and advertising materials in relation to the Mediacorp Group’s goods and services and those of third party organizations selected by the Mediacorp Group; and
7. to comply with any request from any third party or any order of court or directive from authorities investigating any alleged offence or misconduct or for the purposes of taking legal action against any you.
By using the Site and/or the Services and/or agreeing to these Terms of Use, you:
1. consent to the Mediacorp Group collecting, using, disclosing and/or processing your personal data for the purposes as described above; and/or
2. consent to the Mediacorp Group transferring your personal data out of Singapore to any of the Mediacorp Group’s third party service providers or agents for the purposes as described above.

SUSPENSION AND TERMINATION

Mediacorp may suspend and/or terminate your use of and/or access to all or part of the Site, Services and/or User Account(s), with or without notice to you, if in its sole discretion it determines that:
1. you have breached the terms of these Terms of Use or the Advertising Terms, or violated or acted inconsistently with the letter or spirit of these Terms of Use or the Advertising Terms;
2. you have violated the rights of or any third party;
3. it reasonably suspects that you are using and/or allowing the Site, Services and/or User Account(s) to be used for illegal, improper and/or fraudulent purposes. In such event, you will also be referred to the relevant authorities without notice, and Mediacorp will comply with the directions or guidelines issued by these authorities without further reference to you;
4. you become or threaten to become insolvent or bankrupt under the laws of any jurisdiction applicable to you; or
5. for any other reason whatsoever.
Mediacorp may modify or discontinue the Site or Services, with or without notice to you, and it will not be liable to you or any third party as a result of such modification or discontinuation.

INDEMNITIES

You agree to defend and hold Mediacorp, its affiliates and related companies from and against all claims, losses, damages, costs and expenses, including legal fees on an indemnity basis, arising out of your use of the Site and/or Services or any breach of this Agreement. In addition, Mediacorp may use whatever information that is available about you to stop any such breach or any unlawful or inappropriate use of the Site and/or Services, including informing any third party Mediacorp deems appropriate of such breach or use and/or disclosing your personal information to such third party.

GENERAL

Severability. If any of these terms is held to be invalid or unenforceable, such term shall be struck out and the remaining terms shall be enforced. Any failure to act by any Mediacorp Group company with respect to any breach by you or others of any of the provisions of these Terms of Use or any Advertising Terms does not waive its right to act with respect to subsequent or similar breaches.
Electronic transactions. You hereby acknowledge and agree:
1. that all electronic communications made pursuant to the use of this Site and/or any Service, shall be given legal effect, validity and enforceability and shall have, between the parties thereto, comparable evidential value to that accorded to a signed written document;
2. not to contest the legally binding nature, validity or enforceability of any transaction on the Site and/or any Services on the ground that it was entered into electronically;
3. to expressly waive any and all rights it may have to assert any such claims and shall comply with all relevant laws concerning electronic communications; and
4. any and all transactions, including but not limited to the passing of risk and/or title to any and all products and/or goods purchased and/or transacted on the Site and/or any Services, shall be deemed and construed to be transacted, transferred and/or passed to you in the Republic of Singapore.
Governing laws and jurisdiction. These Terms of Use shall be governed by the laws of the Republic of Singapore, and the parties hereby submit to the non-exclusive jurisdiction of the Singapore courts. Unless expressly provided to the contrary, any person who is not a party to this Agreement (other than a Mediacorp Group Company) shall have no right to enforce any of the terms of this Agreement under the provisions of the Contracts (Rights of Third Parties) Act (Cap. 53B).
